Context of the case
Our Client is one of the largest household appliances groups in Western Europe, present in more than 60 countries around the world.
The Client’s challenge was to acquire a French company specialising in household appliances. The aim was to strengthen its position in France and gain access to the technical and logistical structure of the target company. The company, chosen by the Client, was a parent company with a several subsidiaries in France.
TERRILLON AVOCATS advised the Client on the case and ensured that the purchase of the French company and its subsidiary went smoothly. It was important that communication regarding the case be in both French and English.
The first step was to buy the parent company. The Firm implemented the takeover, asset and liability guarantee, and first demand guarantee. The acquisition by mutual agreement was completed within four months.
Then, a few years later, TERRILLON AVOCATS advised the Client regarding the parent company’s absorption of its subsidiaries. Since the parent company owned 100% of the shares in its subsidiaries, we were able to carry out universal asset transfers instead of simplified mergers. Subject to the Civil Code, this solution was simpler in operational terms and did not require a report from an acquisition or merger auditor.
The services provided by TERRILLON AVOCATS enabled the Client to implement its commercial strategy on the French and European markets. The acquired company is still operating under the same brand as before. The Client appreciated our work and entrusted us with legal monitoring of the target company.
